Terms of Trade
Welcome to YAKSU Wholesale ('YAKSU'). These Terms of Trade ('Terms') constitute a legally binding agreement between you ('Buyer', 'Distributor', or 'Clinic') and YAKSU Wholesale ('Seller', 'we', or 'us'). These Terms govern your access to our wholesale platform, the creation of a business account, and the purchase of cosmetic and aesthetic products listed on our catalog. By registering for an account, placing an order, or otherwise engaging in business with YAKSU, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms. If you do not agree to these Terms, you must not use our services or purchase our products. These Terms may be updated periodically to reflect changes in regulatory requirements or business operations. It is your responsibility to review these Terms before placing each order. Continued use of our platform following any amendments constitutes acceptance of those changes.
1. Eligibility & Account Verification
YAKSU Wholesale is a strictly Business-to-Business (B2B) platform. We do not sell to the general public or unlicensed individuals. To register for an account and access our wholesale pricing, you must provide valid documentation proving your status as a licensed aesthetic professional (MD, DO, RN where applicable), a registered aesthetic clinic, or an authorized distributor in your jurisdiction. We reserve the right to request additional documentation at any time to verify your identity and business credentials. This may include, but is not limited to, copies of your professional license, business registration certificate, tax identification number, and proof of address. Failure to provide satisfactory documentation may result in the suspension or termination of your account. You are responsible for maintaining the confidentiality of your account credentials. Any activity that occurs under your account is your sole responsibility. You must notify us immediately of any unauthorized use of your account or any other breach of security.
2. Orders & Minimum Order Quantities (MOQ)
All orders placed through the Site are subject to acceptance by YAKSU Wholesale. We reserve the right to refuse or cancel any order for any reason, including but not limited to product unavailability, errors in pricing or product information, or issues identified by our compliance department. To maintain our wholesale pricing structure, we enforce a Minimum Order Quantity (MOQ) policy. The specific MOQ may vary by product category or brand and is clearly indicated on the product pages or price lists. Orders falling below the specified MOQ will not be processed unless a specific exception is granted in writing by a sales representative. order confirmation sent via email serves as an acknowledgment of receipt and does not constitute a legal acceptance of your order. A contract of sale is formed only when we send you a Proforma Invoice or a Shipping Confirmation with a tracking number.
3. Pricing, Taxes & Payment Terms
All prices are listed in US Dollars (USD) and allow for Ex-Works (EXW) or Free Carrier (FCA) terms unless otherwise negotiated. Prices do not include import duties, Value Added Tax (VAT), Goods and Services Tax (GST), or other clearance charges levied by the destination country. These charges are the sole responsibility of the Buyer. Payment must be made in full prior to shipment. We accept the following payment methods: * **Bank Transfer (T/T):** Preferred for larger orders. Buyer covers all sender-side bank fees. * **Wise (formerly TransferWise):** Recommended for lower fees and faster processing. * **Credit Card:** Accepted for orders up to a certain limit, subject to a processing surcharge (typically 3-4%) to cover merchant fees. Currency exchange differences are the responsibility of the Buyer. We must receive the full invoice amount in USD net of any fees.
4. Shipping & Incoterms
Unless legally agreed otherwise in a separate contract, all shipments are executed under FCA (Free Carrier) Incheon terms (Incoterms 2020). This means our responsibility for the goods ends when we hand them over to the carrier (DHL, FedEx, UPS, or Korean Air Cargo) at our warehouse or the departure airport. Risk of loss or damage to the goods passes to the Buyer at the point of handover to the carrier. While we take every precaution with professional export packaging—including thermal insulation and cold packs for sensitive items—we are not liable for delays, damages, or losses caused by the carrier, customs inspections, or force majeure events during transit. It is the Buyer's absolute responsibility to ensure that the ordered products can be lawfully imported into the destination country. YAKSU Wholesale is not responsible for products seized, destroyed, or returned by customs due to lack of import permits, regulatory restrictions, or failure to pay duties.
5. Limitation of Liability & Disclaimers
To the maximum extent permitted by applicable law, YAKSU Wholesale creates no warranties, express or implied, regarding the products other than those provided by the original manufacturer. All products are sold 'as is'. We expressly disclaim any implied warranties of merchantability or fitness for a particular purpose. In no event shall YAKSU Wholesale, its directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from legal issues in the destination country or misuse of the products. Our total liability for any claim arising out of or relating to these Terms or the products shall not exceed the amount paid by you for the specific products giving rise to the claim. You agree to indemnify and hold harmless YAKSU Wholesale from any claims arising from your violation of local laws or regulations regarding the import, sale, or administration of these aesthetic products.
